ELIGIBILITY: The Southwire Auction (the “Auction”) begins on August 23, 2021 at 9:00:00 a.m. ET and ends on December 15, 2021 at 11:59:00 p.m. ET (“Bidding Period”). The Auction is open to legal U.S. residents who are 21 years of age or older at time of entry and Southwire product distributors in good standing (or work as company contact for such a distributor), as determined solely by Southwire. Employees of Southwire Company, LLC (“Sponsor”), and its respective parent companies, subsidiaries, affiliates, advertising agencies, public relations agencies, prize suppliers, including any vendors providing services in connection with this Auction (collectively, the “Sponsor Affiliates”), and employees, agents, directors, officers (including members of their immediate family – i.e., spouse, mother, father, in-laws, grandmother, grandfather, brother, sister, children and grandchildren – or same household) of Sponsor or any Sponsor Affiliates are not eligible to participate.
TO ENTER: During the Bidding Period, you may enter the Auction by visiting the online bidding website at http://southwire.com/wwp-mxb2000 (the “Site”). At the Site, you complete all required information, and that information must be truthful and accurate. The minimum bid is $10,000. All bids are made in United States dollars, and all bids must be received by Sponsor within the Bidding Period. All bids are submitted on a blind basis, such that no participant will see the other participants’ bids. Illegible and incomplete submissions are void. Sponsor is not responsible for lost, late, or misdirected submissions, or submissions not received regardless of cause.
BIDDING AGREEMENT: By bidding, you are agreeing, where your bid is the highest bid, to pay in a full lump sum the total amount you bid directly to Wounded Warrior Project, Inc. (“WWP”), which is a third-party beneficiary of your bid, and you acknowledge by bidding that Sponsor and WWP are relying on their detriment on your submitted bid. All bids are final and not subject to withdrawal or amendment.
WINNING BID: At the close of the Bidding Period, Sponsor will review all bids submitted and select the highest bid as the one (1) potential winner. In the event of a tie between bids, the one (1) winner will be selected by random drawing from all relevant bids.
PRIZES: The verified winner of the Auction will be awarded one (1) Southwire® [MXB2000 Maxis® Xtreme™ Bender] that is custom skinned with a Wounded Warrior Project theme. Please contact the Southwire representative listed in these Official Auction Rules for ARV information. Where the verified winner chooses option (a), no award will be made of any difference between the actual value of voucher used by winner and the stated ARV.
The Prize is awarded "AS IS." Neither Sponsor, Sponsor Affiliates, nor WWP make or offer any warranty or guarantee, either express or implied (including, without limitation, quality, merchantability and fitness for a particular purpose) in connection with this Auction or any prize. Prize will not be delivered to any location other than within the 48 contiguous United States and District of Columbia.
Any other costs and expenses associated with prize acceptance and use not specifically provided herein are the sole responsibility of the winner. Winner must execute release in order to claim prize, and the submission of a bid shall serve as winner’s full acceptance of the release provided below, and winning bidder agrees to promptly execute such release. If such release is not executed and delivered to Sponsor within three (3) days of notice to winner, Sponsor may reject the selected winner’s bid and choose an alternate winner. At Sponsor’s discretion, winner may be required to produce picture or some other form of proper identification to claim any prize. Sponsor reserves the right to substitute any prize with prize of equal or greater value. If a potential winner cannot be contacted, fails to timely claim the prize, is disqualified, fails to timely execute and return any required forms, or if the prize notification is returned as undeliverable, an alternate winner will be selected from other potential winners and/or by random draw from all remaining eligible entries. Under no circumstances will more than the advertised number of prizes be awarded.
PUBLICITY: Acceptance of any prize constitutes permission to the Sponsor to use winner’s name, voice, statements, image and likeness for purposes of advertising and trade, in any medium, without further compensation or notice, unless prohibited by law.
NO LIABILITY & INDEMNIFICATION: Sponsor, Sponsor Affiliates, and WWP are not responsible for and entrants release each from any failures of any kind (whether caused by computer, technical, or human error) which may either limit the entrant’s ability to submit an entry, claim a prize, or otherwise participate in this Auction, or Sponsor’s ability to include all eligible entries, conduct random drawings, notify the potential winner, or otherwise execute this Auction in the manner intended. Entrants further release and agree to indemnify Sponsor and Sponsor Affiliates from any and all liability, claims or actions of any kind whatsoever arising from injuries, damages, or losses to persons or property which may be sustained in connection with this Auction including, but not limited to: (a) the receipt, ownership or use of any prize awarded; (b) any prize-related activity; (c) any typographical or other error in these Official Rules or any other materials disseminated by Sponsor; and (d) any technical malfunction, failure, error, omission, interruption, deletion, defect, delay in operation or communications line failure, regardless of cause, with any equipment, systems, networks, lines, satellites, servers, computers, or providers used by an entrant or Sponsor.
OTHER TERMS: Decisions of Sponsor on all matters related to the Auction are final. Sponsor reserves the right to cancel or modify the Auction for any reason, including but not limited to, if fraud, misconduct or technical failures destroy the integrity of the Auction, or if a computer virus, bug, or other technical problem corrupts the administration, security, or proper administration of the Auction as determined by Sponsor, in its sole discretion. Sponsor reserves the right to disqualify or prohibit the participation of an individual if fraud or tampering is suspected, or if the individual fails to comply with any requirement of participation or with any provision in these Official Rules. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE OR UNDERMINE THE OPERATION OF THIS AUCTION IS A VIOLATION OF CRIMINAL & CIVIL LAWS.
